2. Definitions
- "We," "Us," "Our": Refers to Cerebrum Software Limited.
- "You," "Your": Refers to the individual or organisation using the Services.
- "User Account": The account registered with us to access and use the Services.
- "Organisation": The entity associated with a User Account.
- "Subscription": A paid plan granting access to specified features of the Services.
3. Eligibility
- Be at least 18 years of age.
- Have the authority to enter into binding agreements on behalf of your Organisation, if applicable.
- Comply with all applicable laws and regulations.
4. User Accounts
4.1. Registration
You are required to register for a User Account to access the Services. The information provided must be accurate, complete, and kept up-to-date.
4.2. Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your User Account. Notify us immediately of any unauthorised access or breach.
5. Subscriptions
5.1. Payment
Access to certain features of the Services requires an active Subscription. Subscription fees are billed in advance and are non-refundable, except as required by law.
5.2. Renewal
Subscriptions will automatically renew unless cancelled before the renewal date. By renewing, you authorise us to charge the payment method on file.
5.3. Cancellation
You may cancel your Subscription at any time. Cancellation will take effect at the end of the current billing cycle, and you will retain access to the Services until then.
5.4. Upgrades and Downgrades
You can upgrade your Subscription at any time, and the upgrade will take effect immediately. Any additional charges will be prorated for the current billing cycle. Downgrades can also be made at any time, but will take effect from the next billing cycle. No refunds will be provided for the current billing cycle.
6. Use of Services
6.1. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. Prohibited activities include but are not limited to:
- Exploiting, distributing, or sharing the Services for unauthorised use.
- Uploading or sharing malicious code, spam, or unlawful content.
- Attempting to gain unauthorised access to our systems.
6.2. Restrictions
You must not:
- Reverse engineer, disassemble, or decompile any part of the Services.
- Use the Services to compete with us.
7. Data and Privacy
Your use of the Services is governed by our Privacy Policy. By using the Services, you consent to the collection and processing of your data as outlined in the Privacy Policy.
8. Intellectual Property
8.1. Ownership
All content, code, and intellectual property provided through the Services are owned by Cerebrum Software Limited or our licensors. Your use of the Services does not grant you ownership of any intellectual property rights.
8.2. License
We grant you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes during your Subscription term.
9. Disclaimer of Warranties
The Services are provided "as is" and "as available" without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Limitation of Liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages.
11. Termination
We may suspend or terminate your access to the Services immediately if:
- You breach these Terms.
- We are required to do so by law.
- You fail to pay applicable Subscription fees.
Upon termination, your right to use the Services will cease, and we may delete your data in accordance with our retention policies.
12. Changes to Terms
We may update these Terms from time to time. Significant changes will be communicated to you, and continued use of the Services indicates your acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes arising out of or related to these Terms shall be resolved in the courts of England.
